Padraig’s Place and you (care providers, families and other users) and governs the use of
the service offered at the Padraig's Place website, SpecialKidCare.org (the "Site"). Use
of the Site constitutes an agreement with the Terms of Use (this “Agreement”).
The Site enables families seeking services for children with autism and other
disabilities (“families”) to make connections with individuals or entities providing
services to children with autism and other disabilities (“Care Providers”
and "Resources"). Padraig’s Place plays no role in the interaction between families and
Care Providers on the Site or otherwise, and does not recommend or suggest any Care
Provider or Resource for any family. The Site and services are neither offered nor
intended as a replacement for professional or medical advice.
READ BEFORE USE
If you wish to make use of the Site’s service (the “Service”), then please read this
Agreement. By using this Site, you represent, warrant, understand, agree to and accept
all terms and conditions contained herein. If you object to anything in this Agreement or
the Padraig’s Place Privacy Policy, do not use the Site or the Service.
The Terms of Use are subject to change at any time, effective upon posting on the
Site, and your use of the Site or the Service after such posting will constitute acceptance
by you of such changes. By accessing the Site or becoming a Member, you consent to
have this Agreement provided to you in electronic form.
DISCLAIMER
Padraig’s Place makes no representations about the suitability, reliability,
timeliness, efficacy or accuracy of the Care Providers, Resources or the services
promoted or described by Care Providers or Resources on the Site. Padraig’s Place does
not verify statements made by Care Providers or Resources on this Site, nor does it
assume any responsibility for the information provided by Care Providers or Resources
on this Site.
All users of the Site expressly agree not to hold Padraig’s Place and Padraig’s
Place’s officers, directors, and agents liable for any instruction, advice or services
delivered which originated through the Site. The Site and the Service are provided “as
is” and Padraig’s Place disclaims any warranty of merchantability, or fitness for a
particular purpose.

anyone who has been convicted of a felony or any criminal offense characterized as a

the jurisdiction of the United States of any Care Provider, Resource or any other users of
this Site are not the responsibility of Padraig’s Place.
Your account is for your sole, personal use. You agree not to authorize others to
use your account, and you may not assign or otherwise transfer your account to any other
person or entity.
RELEASE
Problems concerning the services received by families from Care Providers,
Resources, or concerning payment due to a Care Provider or Resource by a family are
not Padraig’s Place’s responsibility. By using this Site, you represent, understand, and
expressly agree to hold Padraig’s Place harmless for any claim or controversy that may
arise from any disputes between you and any other user(s) of the Site.
CONTENT
You are responsible for providing accurate, current and complete information in
connection with your use of the Site. You are solely responsible for any content,
messages, photos, reviews or profiles (collectively, “Content”) that you publish or
display (hereinafter, “post”) on the Site, or transmit to other users of the Site.
You agree that you will not post on the Site, or transmit to other users, any
defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented,
threatening, harassing, racially offensive, or illegal material, or any material that
infringes or violates another party’s rights (including, but not limited to, intellectual
property rights, and rights of privacy and publicity).
You understand and agree that Padraig’s Place may review and delete any
Content, that in the sole judgment of Padraig’s Place violates this Agreement or which
might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of
users of the Site.
WEBSITE LINKS
The Site contains links to other websites and to material contained on other
websites. Padraig’s Place is not responsible for the content of such other websites and
disclaims all liability in respect to such content and of any other websites or content
which you may be able to access from the Site.
PAYMENT AND REFUND POLICY
Families are obligated to pay for the service of the Site, unless specifically
notified otherwise. Families authorize Padraig’s Place to charge their chosen payment
provider for use of the Site. No refunds or credits will be provided for account
cancellation requests received after the account has been billed. At Padraig’s Place’s sole
discretion, refunds or credits may be granted in extenuating circumstances.
INDEMNIFICATION
By agreeing to the terms of this Agreement, users of the Site agree to indemnify,
defend and hold harmless Padraig’s Place, its directors, officers, employees, and agents
from and against any and all claim, loss, expense or demand of liability, including
attorneys’ fees and costs incurred by Padraig’s Place in connection with any claim by a
third party (including an intellectual property claim) arising out of (i) materials and
Content you submit, post or transmit through the Site, or (ii) use of the Site by you in
violation of this Agreement or in violation of any applicable law.
COPYRIGHT INFRINGEMENT
If you believe any materials accessible on or from the Site infringe upon your
copyright, you may request removal of those materials (or access thereto) from this Site
by contacting Padraig’s Place at ekelly@padraigsplace.org.
CHOICE OF LAW AND VENUE
By using the Site, you agree that any dispute arising out of the Site and/or the
Service shall be governed by the laws of the State of Minnesota, without regard to its
conflict of law provisions, and you expressly agree and consent to the exclusive
jurisdiction and venue of the Minnesota State and Federal Courts, and the Ramsey
County Courts, for the resolution of any such dispute.
NOT PARTNERS
Nothing in this Agreement makes either party the partner, joint venturer, agent,
legal representative, employer, contractor or employee of the other. This Agreement will
be binding on and will inure to the benefit of the legal representatives, successors and
assigns of the parties hereto.
